WORKING DRAFT FOR ATTORNEY REVIEW PipelineWizard.io Client Agreement November 6, 2026 • Not legal advice and not a final contract Do not execute or use with a client until counsel has reviewed this draft, the parties have completed all blanks, and the service schedule and commercial terms have been approved. The company name is PipelineWizard.io. 1. Parties and effective date Provider: PipelineWizard.io, acting through Brian Harris, Founder (“PipelineWizard.io”). Exact legal entity name and entity type: [confirm]. Address: [Provider address]. Contact: cs@pipelinewizard.io. Client: [Client legal name], [entity type], at [Client address] (“Client”). Authorized representative and notice email: [name / title / email]. Effective date: [date]. PipelineWizard.io and Client are the “parties.” Client signs this agreement once at the company level. Legal terms, LinkedIn rules, confidentiality and payment authorization live at the company level. Participating departments are identified in one or more completed service schedules attached to this agreement and do not each sign a separate master contract. 2. Services and scope PipelineWizard.io will provide a branded website and matching app for AI-assisted talent-pipeline sourcing. Client’s company signs this master agreement once. Each participating department identified in a completed service schedule will have its own wizard in the app to help describe searches, build and maintain role dashboards, and guide ongoing pipeline work. That department’s HR person or assistant can use chat or voice and upload job descriptions and org charts. PipelineWizard.io will build and maintain a pipeline dashboard for each approved open role on that department’s wizard and add new qualified people through daily or weekly updates, within that department’s completed service schedule and access limits. “Qualified person” means a new person whose available profile information matches the written criteria approved for that role. The term does not mean the person has been interviewed, contacted, independently verified, or confirmed interested, reachable or available. Client remains responsible for hiring decisions and evaluating candidates. Each department plan’s monthly fee covers PipelineWizard.io’s wizard and sourcing service for that department, including agreed AI usage. The LinkedIn seat for that department’s named real employee is not included in the plan fee; Client purchases and pays for it directly with LinkedIn as described in Section 8 (LinkedIn Seat). No right to unlimited activity is granted. No official third-party AI app account is supplied to Client as part of this service. PipelineWizard.io is paid the applicable plan fee for each department seat. 3. Company master agreement; department wizards and seats Client signs this agreement once. It covers legal terms, LinkedIn rules, confidentiality, and payment authorization at the company level. Client does not sign a separate master contract for each department. Each department that wants to use the Wizard will have its own completed service schedule, its own wizard, its own pipeline dashboards, its own named employee for the LinkedIn seat, and its own monthly plan fee. PipelineWizard.io is paid for each department seat. Each participating department selects Pipeline ($1,500 per month, up to 2 open roles) or Pipeline Plus ($2,500 per month, up to 5 open roles) and receives its own wizard. Each department names its own real employee as the holder of that department’s LinkedIn seat. Client purchases and pays for that seat directly with LinkedIn as described in Section 8 (LinkedIn Seat). Each department seat is subject to the search pacing of its selected plan: one active search at a time under Pipeline, and up to two active searches under Pipeline Plus. Seats do not share one search slot. If three departments want to search at the same time, they need three named seats and three separately paced wizards. Several seats may run concurrently only because each seat belongs to a different named person, with that person’s own LinkedIn account and own throttle. Client will not permit several department users to take turns on one LinkedIn profile. If Client wants one shared wizard and one seat for the whole company, Client purchases one plan. If each department wants its own wizard and to run its own searches, each department needs its own seat and Client pays each department’s monthly plan price. C-suite Search is outside department seating and remains the separate hybrid add-on described in this agreement, including the success fee of ten percent (10%) of first-year base salary due on the hire’s start date. In consideration of the substantially reduced success fee, no replacement or guarantee period applies to C-suite Search placements. 4. Separate services C-suite Search is not included in any department’s monthly retainer and is not included merely because Client adds department seats. Under a separate statement of work (“SOW”), C-suite Search is a hybrid of PipelineWizard.io software (Pipeline Wizard) and an actual recruitment professional. A recruiter will reach out personally to specific people identified through the Wizard software, sell the company, and utilize PipelineWizard.io’s talent network to find the right person for the approved C-suite role. The success fee is for this combination of the software and a recruiter working together. This add-on does not cover a general executive search or a board search. Purchase of the add-on must reference the applicable SOW. Candidate outreach, interviews, assessments, offer negotiation and placement services are otherwise excluded from the department retainer. Full LinkedIn Recruiter, extra roles on a plan and higher volume require a separately signed scope and fee. Additional department wizards are purchased as additional department plans under this agreement, each at the applicable plan price and with its own completed service schedule, named employee and seat. Department users may not be added as extra users on another department’s seat. No additional fees or scope changes apply without written agreement. Service schedule 5. Complete and approve before activation Recommended starting point — confirm before sending to clients. All proposed commercial figures in this schedule remain editable. The one-search default and absolute two-search maximum are mandatory operating constraints, not optional volume upgrades. Selection / parameter | Proposed schedule Selected plan | [ ] Pipeline [ ] Pipeline Plus Monthly fee and role cap | Pipeline: $1,500 all-in; up to 2 open roles. Pipeline Plus: $2,500 all-in; up to 5 open roles. Weekly new-person cap | Up to 10 new qualified people per open role per week under either plan. Software-enforced monthly cap | Pipeline: 80 new qualified people across all roles. Pipeline Plus: 200 new qualified people across all roles. Concurrent search limit | Pipeline: 1. Pipeline Plus: up to 2. PipelineWizard.io may reduce concurrency for safety. Term and billing start | A month-to-month service, paid monthly on subscription; no minimum or initial term. Service and monthly billing start: [date]. Renewal and cancellation | Month-to-month service, no initial term; proposed 30 days’ cancellation notice. Other operational activity limits | [Before activation, document permitted access method and software-enforced monthly profile-open / search-activity budget appropriate to the seat. Do not infer a safe volume from pipeline-add caps.] Department | Department name: ______________________________ One completed schedule per department wizard/seat. PipelineWizard.io approval: [name / date] Client approval: [name / date] 6. Applying the limits A week means Monday–Sunday and a month means a calendar month; the parties must document treatment of a partial first billing period before activation. Both weekly and monthly caps apply, including in five-week months. There is no rollover. The software must stop new additions at the monthly cap, and pause the relevant activity when its approved activity budget is reached. No unapproved overage billing applies. These are upper limits and planning targets, not minimum output guarantees. Match availability, data quality, permitted access and safety pauses may reduce additions. Changes to role priorities cannot be used to evade the aggregate monthly ceiling. Each person is counted only once per role; duplicates within that role do not count as new additions. LinkedIn access and account safety 7. Authorized named user and paid seat Each participating department will designate a real employee of Client, typically an HR employee or assistant, as that department’s named LinkedIn user. That individual remains the profile holder at all times. Department users may not share or take turns on another department’s LinkedIn profile. Client pays for the seat subscription directly with LinkedIn as described in Section 8 (LinkedIn Seat); that payment does not transfer ownership or control of the individual’s profile to PipelineWizard.io or Client. Client and the named user authorize PipelineWizard.io to conduct searches through that seat strictly within the completed service schedule, using only access and methods permitted by LinkedIn’s User Agreement, applicable product terms and law. This authorization does not authorize credential sharing, impersonation, prohibited automated use, or any other breach of LinkedIn’s rules. Neither party will create or use a company-as-person profile or a bot-created / bot-operated LinkedIn profile for the service. Client and the named user must comply with LinkedIn’s terms. PipelineWizard.io must also use compliant methods. If a permitted access method cannot be established, PipelineWizard.io will pause the LinkedIn portion or agree a compliant, human-driven workflow before searches proceed. Client approval alone does not make prohibited automation permissible. Recruiter Lite is limited to first–third-degree search. Premium Business “unlimited search” is not permission for unlimited automation or deep sourcing jobs. Talent Insights is a separate analytics product, not a substitute candidate-search seat. Full Recruiter is excluded unless expressly scoped and priced in writing. 8. LinkedIn Seat Each participating department must designate one named employee who uses their own authentic LinkedIn profile. Each seat is for that employee alone; seats, profiles and login credentials may not be shared or rotated among employees or with PipelineWizard. The Client purchases and pays for that employee's LinkedIn seat directly with LinkedIn, in the employee's name, using the Client's payment card. LinkedIn Recruiter Lite is the recommended seat for recruiting, subject to PipelineWizard's guidance on the department's needs. The seat cost is separate from and in addition to the PipelineWizard plan fee and is billed directly by LinkedIn at LinkedIn's current rates, under LinkedIn's own subscription and cancellation terms. The Client retains control of its directly purchased subscription and its own recruiting materials after cancellation of PipelineWizard services, subject to LinkedIn's terms. PipelineWizard acquires no ownership of the account or subscription. The named employee's personal LinkedIn profile remains that employee's profile; this Agreement does not transfer ownership of a personal profile to the Client. Cancellation of PipelineWizard does not cancel the LinkedIn subscription; the Client is responsible for managing that subscription directly with LinkedIn. PipelineWizard guides seat selection, profile setup and onboarding, and conducts sourcing at a conservative, throttled pace intended to protect the account, using only access and methods permitted by LinkedIn. The designated employee must personally perform any actions that LinkedIn reserves to the account holder. Throttling does not guarantee protection from restrictions. The Client remains responsible for its and its designated employee's compliance with LinkedIn's terms. LinkedIn independently controls access, features, restrictions and suspensions; to the extent permitted by applicable law, PipelineWizard is not liable for LinkedIn-imposed restrictions, suspensions or loss of access. By electronically signing this Agreement online, the Client confirms that it has read and accepts these LinkedIn Seat terms, including the separate LinkedIn charges and named-employee requirement. No introductory or sales call is required to accept this Agreement and become a client; the seat setup and onboarding requirements still apply. 9. Throttling, restrictions and pauses Search pacing applies per department seat. One search will normally run at a time on that seat. Pipeline permits only one concurrent search on that seat; Pipeline Plus permits no more than two on that seat. Seats do not share a search slot. If multiple departments want to search at the same time, each must have its own named seat and separately paced wizard. PipelineWizard.io will throttle searches and profile activity, enforce the monthly ceilings, and reduce or stop activity when platform warnings, permissions, restrictions or security concerns require it. Neither party may bypass controls to meet pipeline-add targets. A pipeline build may involve many profile opens. No plan includes a promise of 200 or 300 deep sourcing jobs per month. Pipeline-add ceilings are not safe-use allowances for profile opens or requests. Specific activity budgets must be documented before activation and may be reduced; PipelineWizard.io makes no representation that any pacing prevents account restrictions. Client and the named user will promptly report account notices or loss of access. The parties will cooperate on permitted remediation without creating replacement profiles to evade restrictions. A restriction may interrupt delivery; PipelineWizard.io will notify Client of material interruptions and discuss scope or billing treatment in writing. No account-restoration or uninterrupted-access guarantee is provided. 10. Seat changes and termination Any named-user change for a department seat requires written approval, a new acknowledgement and compliant seat arrangements. Adding or removing a department wizard requires an updated or additional service schedule and the applicable plan fee. At termination PipelineWizard.io will stop service access. Client manages or cancels its directly purchased LinkedIn seat with LinkedIn, as described in Section 8 (LinkedIn Seat). The named user retains the personal profile; the parties will document seat renewal, cancellation and transition responsibilities before activation. Commercial terms and safeguards 11. Fees and recurring monthly billing Client will pay the monthly fee for each active department plan selected in an approved service schedule automatically through Stripe or a similar payment processor, monthly in advance from that schedule’s agreed billing start date. PipelineWizard.io is paid the applicable plan fee separately for each department. If the company wants one shared wizard and one seat for the whole company, Client purchases one plan. If each department wants its own wizard and to run its own searches, each department requires its own seat and Client pays that department’s plan price. Before activation, Client must approve the recurring payment authorization and billing date. The plan fee covers the wizard and sourcing service, including agreed AI usage. Each LinkedIn seat is billed separately and directly to Client by LinkedIn at LinkedIn’s current rates and is not included in the plan fee. Taxes, payment-failure procedures and any required payment notices: [complete with counsel before execution]. An exception for full LinkedIn Recruiter or any other scope change requires written agreement on revised fees before purchase or use. C-suite Search fees and payment timing are governed only by a separate SOW. For an approved C-suite Search delivered as a hybrid of PipelineWizard.io software and an actual recruitment professional utilizing PipelineWizard.io’s talent network, if a candidate is hired into that C-suite role, Client will pay a success fee equal to ten percent (10%) of the hire’s first-year base salary, due on the hire’s start date. The fee is calculated on base salary only, not bonus, commission, or equity. In consideration of the substantially reduced success fee, no replacement or guarantee period applies to C-suite Search placements. This success fee does not apply to a general executive search or to board search. The monthly retainer continues separately and is not credited against the success fee. PipelineWizard.io will not silently pass through upgrades or charge unapproved overages. 12. Term, renewal and cancellation — proposed terms Pricing options — recommended starting point, confirm before sending to clients: a month-to-month service, paid monthly on subscription, for each selected department plan, with 30 days’ written cancellation notice. Proposed implementation for counsel review: cancellation becomes effective at the end of the first monthly billing period ending at least 30 days after notice. Notice goes to the parties’ designated notice emails. Fees remain payable through the effective end date. Refunds, proration, rights for material breach and nonpayment, cure periods and any mandatory renewal disclosures: [complete before execution]. 13. Confidentiality and appropriate use Each party will use nonpublic client, role, org-chart, candidate and pipeline information only to perform or receive the service or as otherwise authorized in writing. Each will protect it with reasonable safeguards and limit access to people and service providers who need it and are subject to appropriate confidentiality obligations. Neither party will sell or publicly disclose the other party’s confidential information. These duties do not cover information lawfully public, already lawfully known, independently developed, or lawfully received without confidentiality restrictions. Legally compelled disclosure is permitted; where lawful, the receiving party will give notice and disclose only what is required. Candidate information must still be handled according to applicable privacy law, even if sourced from public profiles. Client will provide only information it has the right to share and use candidate data only for lawful recruiting purposes. Client should omit unnecessary sensitive personal information from uploads. The parties will agree access, retention, return/export and deletion arrangements, incident-notice procedures, applicable privacy roles, AI-provider data handling and any required data-processing addendum before production use: [complete with counsel]. No specific export feature or retention period is promised by this draft. Review, risk allocation and acceptance 14. AI-assisted sourcing; no hiring guarantee Each Client’s own wizard in the PipelineWizard.io app is powered by leading AI. It helps describe searches, build and maintain role dashboards, and guide ongoing pipeline work, but may produce incomplete or inaccurate information or overlook relevant candidates. Search results depend on the available data and agreed criteria. Client must review candidate information for accuracy, relevance and lawful use before taking employment action. The service does not make final hiring decisions. PipelineWizard.io does not guarantee any hire, placement, number of hires, candidate response, interest, availability, reachability, suitability or continued accuracy of profile data. Weekly additions are capped targets, not guaranteed outcomes. No guarantee is made of third-party availability or freedom from account restriction. Client retains responsibility for employment decisions and compliance with hiring laws. 15. Limitation of liability — attorney placeholder [Counsel to draft and negotiate a balanced limitation of liability, any fee-based aggregate cap, exclusions of damages, carve-outs, allocation of third-party account risks, and any indemnities or insurance requirements. No liability cap or waiver is agreed in this working draft.] 16. Governing law and remaining terms Governing law: [State], subject to counsel review. Dispute-resolution process and venue: [complete]. Notice procedures, order of precedence among this agreement / service schedule / SOWs, intellectual-property and data rights, assignment, independent-contractor terms, force majeure, severability and any required regulatory provisions: [complete with counsel]. Amendments to scope, fees or terms require written agreement of authorized representatives. 17.
